Terms of Service
This English version is provided for convenience. The Hebrew version is the binding one.
These terms are a binding agreement between you and TASKBOT24 LTD. Using the service means you accept them. If you do not agree, do not use the service.
1Definitions
- "The Company" — TASKBOT24 LTD, company number 517413662.
- "The Service" — the TaskBot24 platform for managing tasks through WhatsApp, with all its components.
- "The Customer" — the business that signed up for the service and entered into this agreement.
- "User" — a manager or worker on behalf of the customer who actually uses the service.
- "Customer Content" — recordings, messages, transcripts, tasks and any information passed to the service by the customer or its users.
2The service
The service receives voice and text messages on WhatsApp, transcribes them, extracts tasks from them, assigns them to workers, follows up on them and produces reports.
The service is provided as is (AS IS). The Company may change, add or remove features from time to time, and will give advance notice of a material change where practical.
The service relies on automated processing and artificial intelligence. Transcription and task extraction are not 100% accurate. The customer confirms that it is responsible for checking the summary of tasks shown to it before approving it, and that the Company is not responsible for the results of a task that was worded or assigned incorrectly.
3Sign-up and account
- Sign-up is for businesses only. The person signing up declares that they are authorised to bind the business.
- The customer must give accurate details and update them when they change.
- The customer is responsible for keeping its account access details safe and for every action taken in the account.
- Using the service requires an active WhatsApp account for the manager, and a WhatsApp or Telegram account for each worker.
- A customer who chooses to connect its own WhatsApp business number to the service declares that it owns the number, and grants the Company the permissions needed for this.
4Customer obligations
- To use the service for the internal management of the business only.
- To make sure that the numbers entered belong to actual workers.
- To remove a worker from the system when their employment ends.
- Not to give access to a third party that does not act on its behalf.
- To comply with every law that applies to it, including employment law and privacy law.
5Worker consent
A material clause. The customer declares and undertakes that it has obtained from every worker it enters into the system informed consent to their details being included in the service, to receiving WhatsApp messages related to their work, and to records of their activity being kept.
Responsibility for obtaining consent lies with the customer alone. The Company is not a party to the employment relationship between the customer and its workers, and is not responsible for any lack of consent or any defect in it.
A worker may at any time ask the customer to remove them from the service. The customer undertakes to act on such a request.
6WhatsApp and Meta
The service runs on the WhatsApp Business Platform of Meta Platforms, Inc. Use of the service is also subject to Meta's terms and messaging policies.
The service sends and receives messages through a WhatsApp number of the Company or, when the option is available and the customer chooses it, through the customer's own WhatsApp business number.
Meta's messaging costs are included in the subscription fee paid to the Company. The customer does not pay Meta directly for using the service, subject to the quotas of its plan (section 7).
The Company is not responsible for downtime, changes of terms, blocking of a number or price changes by Meta. Such events may affect the availability of the service and are outside the Company's control.
7Payment, plans and quotas
- The subscription is monthly and renews automatically unless cancelled before the renewal date.
- Prices are listed on the pricing page and do not include VAT unless stated otherwise.
- Each plan includes quotas of tasks, messages and number of workers. Going over may lead to the service being limited or to an additional charge, depending on the plan.
- Non-payment entitles the Company to suspend the service after notice.
- Cancellation takes effect at the end of the current billing cycle. No pro-rata refund is given unless required by law.
8Availability and support
The Company will make reasonable efforts to keep the service available, but does not undertake continuous availability. There may be interruptions for maintenance, carried out outside working hours where possible.
Support is provided through the channels published on the website, on customary business days and hours.
9Prohibited uses
- Sending advertising mail, marketing messages or spam through the service.
- Using the service to monitor workers beyond ordinary task management.
- Uploading content that is unlawful, offensive or infringes the rights of others.
- Trying to get around technical limits, reverse engineer the service or overload the system.
- Using the service to develop a competing product.
10Intellectual property
All rights in the service, the code, the design and the trademarks are reserved to the Company. This agreement does not give the customer any right in them, except a personal, limited, non-transferable licence to use the service for the term of the subscription.
Customer Content remains the property of the customer. The customer grants the Company a limited licence to process it for the purpose of providing the service only.
11Liability and its limits
The service is provided without warranty of any kind, express or implied, including fitness for a particular purpose or fault-free operation.
Subject to any law, the Company's total liability to the customer will not exceed the subscription fees actually paid in the three months before the event.
The Company will not be liable for indirect, consequential or special damage, including loss of profits, loss of data or harm to reputation.
12Indemnity
The customer will indemnify the Company for any claim or demand by a third party — including a worker — arising from the customer's use of the service, from a breach of these terms, or from a lack of consent as required by section 5.
13Termination
- Either party may end the agreement by giving notice.
- The Company may suspend or end the agreement immediately in case of a material breach or a prohibited use.
- When the agreement ends: recordings and transcripts will be deleted within 90 days. Task data will be anonymised. The customer may ask for a data export before the end.
14Changes to the terms
The Company may update these terms. A material change will be announced at least 14 days in advance. Continuing to use the service after the change takes effect means accepting it.
15Governing law and jurisdiction
This agreement is governed by the laws of the State of Israel. The competent courts of the Jerusalem district have exclusive jurisdiction.
